Search-Lite TERMS OF USE
You will need to read this Agreement in its entirety to review the Terms of the Search-Lite service which you are now signing to.

Search-Lite is offered to you conditioned on your acceptance without modification of these Terms of Use and Notices. Your use of Search-Lite constitutes your agreement to these Terms of Use and Notices.

You agree to familiarise yourself with the Terms of Search-Lite and abide by them if you choose to use the service to which such terms apply.

MODIFICATION OF THESE TERMS OF USE AND NOTICES
Search-Lite reserves the right to change the Terms of Use at anytime, effective upon making the modified provisions available on

You are responsible for regularly reviewing these terms and conditions. Continued use of Search-Lite after any such changes shall constitute your consent to such changes. Search-Lite does not and will not assume any obligation to notify you of any changes to the Terms of Use and Notices, or Additional Terms.

THE SEARCH-LITE SERVICE
You may use the Search-Lite service only in connection with the URLs you register with Search-Lite. You will have to pay an additional fee for each URL you register with Search-Lite. In addition to the disclaimer of representations, warranties and conditions set forth in the Terms of Use and Notices, Search-Lite disclaims any and all representations, warranties and conditions, express or implied, that: (a) posting information related to your URLs will be available; (b) any directory, search engine, announcement service, guide, individual or other destination (collectively, the "Directory Services") will accept your submissions through the Search-Lite service; (c) the availability, response time or accuracy of such Directory Services to your submission; or (d) such Directory Services do not or shall not in the future charge fees for any such submissions (for which you will be solely responsible).

You warrant that: (a) all information that you submit to Search-Lite and its affiliates as part of the registration and subscription processes is true and accurate; (b) you are at least 18 years of age and possess the legal authority to enter into this Agreement and to use Search-Lite in accordance with all terms and conditions herein, and to enter into other binding agreements; (c) any products or services sold or otherwise distributed by you on or in connection with Your Web Site are legal for sale or distribution; and (d) you have and control all of the intellectual property, proprietary and similar rights necessary for all material located on Your Web Site, all Submissions, and all products and services sold or otherwise distributed by you or on your behalf via Your Web Site.

LIABILITY DISCLAIMER
The information, and service, and other material included in or available through Search-Lite may not be complete, and may include inaccuracies or errors, and may also be modified or deleted from time to time. Advice, information, services or other materials received via Search-Lite should not be relied upon for personal, medical, legal, business, financial or other decisions and is not intended to replace the advice of appropriate and qualified professionals. You acknowledge that you should consult an appropriate professional for specific advice tailored to your situation.

Your access to and use of Search-Lite is at your own risk. Search-Lite will not be liable for any damage, loss or disclosure of information, data, revenue, accounts or business that occurs in connection with your use of Search-Lite, or such products or services. Search-Lite makes no guarantees of any kind regarding the dependability, accuracy, security, timeliness, or availability of Search-Lite. Without limiting the foregoing,

SEARCH-LITE MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE CONDITION, SUITABILITY, RELIABILITY, AVAILABILITY, COMPLETENESS, SECURITY, TIMELINESS, OR ACCURACY OF THE INFORMATION, SERVICES AND MATERIALS CONTAINED IN SEARCH-LITE.COM FOR ANY PURPOSE. ALL SUCH INFORMATION AND SOFTWARE AND MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SEARCH-LITE HEREBY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, WITH REGARD TO THIS INFORMATION, SOFTWARE, OR MATERIALS, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

IN NO EVENT SHALL SEARCH-LITE BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF SEARCH-LITE, WITH THE DELAY OR INABILITY TO USE SEARCH-LITE, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION AND SERVICES OBTAINED THROUGH SEARCH-LITE, OR OTHERWISE ARISING OUT OF THE USE OF SEARCH-LITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF SEARCH-LITE HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF SEARCH-LITE, OR WITH ANY OF THESE TERMS OF USE AND NOTICES, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING SEARCH-LITE AND ITS RELATED SERVICES. It is your responsibility to take the necessary steps to ensure your primary means of business is maintained.

You agree to defend, indemnify and hold Search-Lite harmless from and against any and all claims, losses, liability costs and expenses (including but not limited to attorneys' fees) arising from your violation of these Terms of Use or any third-party's rights, (including, without limitation, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights). These obligations will survive any termination of your relationship with Search-Lite.

TERMINATION
Search-Lite may terminate this agreement and your access to Search-Lite (in whole or in part) and related services at any time, with or without cause, and with or without notice. Anyone determined by Search-Lite to have violated these Terms of Use and Notices, or any Additional Terms may be barred from using Search-Lite. In addition, if you violate any of these Terms of Use and Notices, or Additional Terms (as applicable) you will forfeit all in-kind credits and amounts accruing to you (if any) in connection with Search-Lite.

These terms and conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes all previous proposals, both oral and written, negotiations, representations, writings and all other communications between the parties.

These terms and conditions shall be governed by and construed in accordance with, and all legal issues arising from or related to anyone’s participation in the Search-Lite service shall be determined by, the laws of England and Wales. The laws of England and Wales shall be the exclusive forum and venue to resolve any and all disputes arising out of or relating to this Agreement or to anyone's participation in the service.
